Terms of Service

Welcome to TILT! These Terms of Service ("Terms") govern your access to and use of the TILT mobile application (the "App"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

1. Acceptance of Terms

By accessing or using TILT, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and TILT.

2. License to Use

2.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on your personal mobile device solely for your personal, non-commercial use.

2.2 Restrictions

You agree not to:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Remove, alter, or obscure any proprietary notices on the App
• Use the App for any commercial purpose or for the benefit of any third party
• Use the App in any manner that could damage, disable, overburden, or impair the App
• Attempt to gain unauthorized access to any portion of the App or related systems
• Use any automated system or software to extract data from the App
• Use the App in violation of any applicable laws or regulations

3. User Conduct

You agree to use the App in a responsible manner and comply with all applicable laws. You will not:

• Use the App to harass, abuse, or harm others
• Upload or transmit viruses or malicious code
• Attempt to manipulate gameplay or leaderboards through cheating or exploits
• Impersonate any person or entity
• Interfere with or disrupt the App or servers

4. Intellectual Property Rights

4.1 Ownership

The App and all content, features, and functionality (including but not limited to all information, software, text, displays, images, audio, and the design, selection, and arrangement thereof) are owned by TILT, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

4.2 Trademarks

TILT and all related names, logos, product and service names, designs, and slogans are trademarks of TILT or its affiliates. You may not use such marks without our prior written permission.

5. User-Generated Content

If the App allows you to submit scores, achievements, or other content, you retain ownership of your content. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with the App and our services.

You represent and warrant that you own or have the necessary rights to any content you submit and that such content does not violate any third-party rights or applicable laws.

6. Updates and Modifications

We may from time to time:

• Update or modify the App to add new features, fix bugs, or improve performance
• Require you to install updates to continue using the App
• Modify or discontinue any feature or functionality of the App

We are not obligated to provide any updates or continue to support any particular feature of the App.

7. Termination

7.1 Termination by You

You may stop using the App at any time by uninstalling it from your device.

7.2 Termination by Us

We reserve the right to suspend or terminate your access to the App at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

7.3 Effect of Termination

Upon termination, your license to use the App will immediately cease, and you must delete the App from your device. Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.

8. Disclaimers

8.1 "As Is" Basis

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

8.2 No Guarantee

We do not warrant that:

• The App will be uninterrupted, secure, or error-free
• Defects will be corrected
• The App is free of viruses or other harmful components
• The results obtained from using the App will be accurate or reliable

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TILT, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE PAST TWELVE MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless TILT and its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App.

11. Age Requirements

The App is intended for users of all ages. If you are under the age of 13 (or the applicable age of consent in your jurisdiction), you must have your parent or guardian's permission to use the App. By using the App, you represent that you meet these age requirements or have obtained the necessary parental consent.

12. Geographic Restrictions

The App is available worldwide. However, we make no claims that the App or any content is accessible or appropriate outside of your jurisdiction. Access to the App may not be legal by certain persons or in certain countries. If you access the App from outside your jurisdiction, you do so on your own initiative and are responsible for compliance with local laws.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of your jurisdiction, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the App shall be resolved through good faith negotiations. If negotiations fail, disputes may be resolved through binding arbitration or in the courts of your jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Effective Date" at the top of these Terms
• Post the updated Terms on this page
• Notify you through the App if changes are material

Your continued use of the App after any changes constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the App.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TILT regarding the App and supersede all prior agreements and understandings, whether written or oral.

17. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.
